Terms and Conditions

1. Parties and Acceptance

These Terms and Conditions (“Terms”) are a legal agreement between you (“Customer”, “you”, or “your”) and Datazoic Inc. (“Datazoic”, “Company”, “we”, “us”, or “our”), headquartered in New York, USA, governing your access to and use of our flagship software-as-a-service platform, Prism (the “Service”). By accessing or using the Service, or by clicking “I agree”, you agree to be bound by these Terms.

2. About Datazoic and Prism

Datazoic is an innovative FinTech growth-stage company focused on transforming how Wall Street and global capital markets leverage data. Our flagship product, Prism, unifies CRM, Business Intelligence, and AI-driven predictive analytics into a single platform used by investment banks, asset managers, and capital markets professionals. Prism empowers Research Analysts, Institutional Sales, Traders, Corporate Access teams, Investment Bankers, and Wealth Management professionals to make real-time, data-driven decisions.

These Terms govern your use of Prism and any related services or modules made available under the Prism umbrella.

3. Scope of Services; License

Subject to these Terms and payment of applicable fees, Datazoic grants you a limited, non-exclusive, non-transferable right to access and use Prism solely for your internal business purposes in the investment banking, asset management, or related financial services context.

4. Accounts and Responsibilities

You are responsible for all use of Prism under your accounts, maintaining confidentiality of access credentials, and ensuring that your authorized users comply with these Terms. You must not use Prism to:

• Process data unlawfully, infringe intellectual property rights, or breach confidentiality obligations.
• Upload malicious code, disrupt services, or attempt to gain unauthorized access.

5. Fees, Payment, and Taxes

Fees are as set out in Order Forms or invoices. All fees are non-refundable unless expressly stated. Late payments may result in suspension of access. Fees exclude applicable taxes, which are your responsibility (excluding taxes on Datazoic’s net income).

6. Changes to Prism and Terms

Datazoic may enhance or modify Prism features from time to time. We will provide reasonable notice of material changes. We may also update these Terms; material changes will be communicated at least 30 days in advance through email or in-product notifications.

7. Customer Data and Ownership

You retain ownership of all data you submit to Prism (“Customer Data”). Datazoic will process Customer Data only to provide the Service, comply with applicable law, or as otherwise authorized. Datazoic may use aggregated, de-identified data to improve Prism and for industry benchmarking, provided such use does not identify you or your users.

8. Security and Compliance

Datazoic maintains an information security program aligned with industry standards and is SOC-compliant. We employ measures such as encryption in transit and at rest, access controls, monitoring, and incident response. Customers acknowledge that Datazoic does not currently hold other certifications (e.g., ISO/IEC, FedRAMP) unless explicitly stated in writing.

9. Data Processing and International Transfers

Where Prism processes personal data on your behalf, the parties will enter into a Data Processing Addendum (“DPA”). Datazoic may engage approved sub processors to provide technical services, subject to obligations of confidentiality and security. International transfers of data will be managed using appropriate legal mechanisms.

10. Confidentiality

Each party will protect the other’s confidential information and only use it for purposes of fulfilling these Terms. Confidentiality obligations survive termination of these Terms.

11. Intellectual Property

Datazoic owns all rights in Prism, its modules, and related documentation. You retain ownership of Customer Data and grant Datazoic a limited license to process such data solely as necessary to provide the Service.

12. Warranties

Datazoic: We warrant that Prism will be provided in a professional manner consistent with industry standards.

Customer: You represent that you have lawful rights to the Customer Data provided and that your use of Prism complies with applicable laws and regulations.

13. Service Availability and Support

We will use commercially reasonable efforts to maintain Prism’s availability. Service levels, uptime commitments, and remedies (if any) may be specified in a separate SLA or Order Form.

14. Security Incidents

If a confirmed security incident materially affecting Customer Data occurs, Datazoic will notify you without undue delay and cooperate in remediation consistent with our incident response program.

15. Limitation of Liability

Except where prohibited by law, neither party will be liable for indirect, special, incidental, or consequential damages, including lost profits or business. Datazoic’s total liability will not exceed the fees paid by you in the 12 months preceding the claim.

16. Indemnification

Customer: You will indemnify Datazoic for claims arising from your misuse of Prism, Customer Data, or violation of law.

Datazoic: We will indemnify you for claims that Prism, when used in accordance with these Terms, infringes a third-party copyright or patent.

17. Term and Termination

These Terms remain in effect for the subscription term stated in your Order Form. Either party may terminate for material breach if not cured within 30 days’ notice. Upon termination, your access to Prism ends, and Datazoic will delete or return Customer Data as outlined in the DPA and applicable retention policies.

18. Governing Law and Jurisdiction

These Terms are governed by the laws of the State of New York, USA, without regard to its conflict of law principles. The parties' consent to the exclusive jurisdiction of the state and federal courts located in New York County, New York, for resolution of any disputes arising under these Terms.

19. Export Controls

You agree not to use Prism in violation of export control laws and represent that you are not subject to sanctions that would prohibit use.

20. Entire Agreement

These Terms, together with applicable Order Forms, SLA, and DPA, constitute the entire agreement between you and Datazoic regarding Prism.
